Usage Terms for InfoFlo Solutions Inc. Products
InfoFlo Solutions Inc. software products are provided subject to the End User License Agreement. This agreement displays for your review during the installation of a InfoFlo Solutions Inc. software products. Please acccept the agreement before you using any InfoFlo Solutions Inc. software product. See below for complete terms.
End User License Agreement (EULA)
This is a license, not a sale. This product is provided under the following license which defines what you may and may not do with the product, and contains limitations on warranties and/or remedies.
By clicking on I accept the agreement and then the Next button or by using the enclosed program, you are consenting to be bound by this agreement. If you do not agree to all of the terms of this agreement, click I do not accept the agreement and then click the Cancel button and the installation process will not continue.
- License
By receiving and/or using this InfoFlo Solutions Inc. (Software), you accept and agree to be bound by the following End User License Agreement. Subject to the terms of this Agreement, InfoFlo Solutions Inc. grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use this Software in accordance with this Agreement.
InfoFlo Solutions Inc. does not transfer title to this Software to you; the license granted to you is not a sale. This agreement is a binding legal agreement between InfoFlo Solutions Inc. and the purchasers or users of this Software. If you do not agree to be bound by this agreement, remove this Software from your computer now and cease to use the product.
1.1 Trial Edition
The Trial Edition of the Software is to be used only to review, demonstrate and evaluate the Software. If you select to use a Trial Edition of the Software, you will be able to access all core features of the Software. Trial Edition will expire 60 days after activation.
1.2 Fully Licensed Editions
If you select to purchase a fully licensed edition of the Software and pay the applicable license fee, you will be able to access all features specified for the Software edition you have selected, subject to the terms of this Agreement.
- Distribution
This Software and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that you may make one copy for archive purposes only. The Software is distributed as is. No warranty of any kind is expressed or implied. Use this Software at your own risk. InfoFlo Solutions Inc. will not be liable for data loss, damages, loss of profits or any other kind of loss while using or misusing this Software.
- Automatic Updates
The Software may communicate with our servers to check for updated information. During this process, no user information is being collected on our servers.
- User Agreement
5.1 Use
Each licensed Edition provides the following permitted uses:
- You are permitted to use all features of InfoFlo Pay and create unlimited number of items as required.
You shall not allow others to use, copy or evaluate copies of this Software. Others may obtain a copy of this Software from: http://www.infoflopay.com/.
5.2 Use Restrictions
You shall use this Software in compliance with all applicable laws and not for any unlawful purpose. Each licensed copy of this Software may be used by the registered user on one computer location. In addition to this primary computer location, the primary user of the computer on which the Software is installed may install it on either a portable computer or a computer located at his or her home for his or her exclusive use. Additionally, the Software on the portable or home computer may not be used at the same time as the Software on the primary computer and must be used by the primary user only.
Use of the Software means that you have loaded, installed, activated or run the Software on a computer or similar device. If you install the Software onto a multi-user platform, server or network, each and every individual user of the Software must be licensed separately. You may make one copy of this Software for backup purposes. Other users may not use your copy of this Software.
The assignment, sublicense, networking, sale, or distribution of copies of this Software is strictly forbidden without the prior written consent of InfoFlo Solutions Inc.. It is a violation of this agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the use of this Software. If any person other than yourself uses Software registered in your name, regardless of whether it is at the same time or different times, then this agreement is being violated and you are responsible for that violation!
You may not use a previous edition or version of the Software after you have received an upgraded edition or a version update of the Software, or transfer or assign the previous edition/version of the Software to another individual.
Removal of any proprietary notices, labels or links on the Software or any of the files generated by the Software is strictly prohibited.
5.3 Return and Refund Policy
We offer a fully functional free, evaluation, download version for potential customers to try before you buy.
Upon final purchase you agree that you are satisfied with the programs features and functionalities, and therefore agree that there is no refund or return option.
5.4 Copyright Restriction
This Software contains copyrighted material, trade secrets and other proprietary material. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile this Software. Nor can you create any derivative works or other works that are based upon or derived from the Software in whole or in part.
InfoFlo Solutions Inc.s name, logo and graphics file that represents our Software shall not be used in any way to promote products developed with our Software. InfoFlo Solutions Inc. retains sole and exclusive ownership of all rights, title and interest in and to the Software and all Intellectual Property rights relating thereto. Copyright law and international copyright treaty provisions protect all parts of InfoFlo Solutions Inc. products and services. No program, code, part, image, audio sample, or text may be copied or used in any way by the user except as intended within the bounds of the single user program. All rights not expressly granted hereunder are reserved for InfoFlo Solutions Inc..
5.5 Limitation of Responsibility
You will indemnify, hold harmless, and defend InfoFlo Solutions Inc., its employees, agents and distributors against any and all claims, proceedings, demands and costs resulting from or in any way connected with your use of this Software.
In no event (including, without limitation, in the event of negligence) will InfoFlo Solutions Inc., its employees, contractors, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, this Software or the use or inability to use this Software or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence. Our entire liability, without exception, is limited to the customers reimbursement of the purchase price of the Software (maximum being the lesser of the amount paid by you and the suggested retail price as listed by InfoFlo Solutions Inc.) in exchange for uninstalling this Software, which constitutes a transfer of license from the customer back to InfoFlo Solutions Inc..
Some editions of the Software enable users to use third-party services that are integrated into the Software including QuickBooks Online, Mailgun and 3rd party payment processors. These third parties may make changes to their software without notice. InfoFlo Solutions Inc. is not responsible for changes made by third-parties which could affect the functionality of the features in the users web gallery.
5.6 Warranties
Except as expressly stated in writing, InfoFlo Solutions Inc. makes no representation or warranties in respect of this Software and expressly excludes all other warranties, expressed or implied, oral or written, including,without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.
5.7 Governing Law
This Agreement shall be governed by the laws of the province of Ontario and the laws of Canada applicable therein except any principles regarding conflicts of laws.
5.8 Termination
This license is effective until terminated. Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of the Software and destroy all copies of the Software in your possession. The financial obligations incurred by you shall survive the expiration or termination of this license.
- Confidentiality
The Software contains trade secrets and proprietary know-how that belong to InfoFlo Solutions Inc., and it is being made available to you in strict confidence. Any use or disclosure of the software, or of its algorithms, protocols or interfaces, other than in strict accordance with the license agreement, may be actionable as a violation of InfoFlo Solutions Inc. trade secret rights.
